Terms of Use

PokerNight.win is operated by Contra Holdings LLC, a Utah limited liability company ("we", "us", "the Company"). In these terms, "you" means anyone who opens the site or sits at a table. These terms are drafted for attorney review and are not legal advice.
Two things worth reading before the rest. Section 3 explains that this is a play money game and that no real money passes through the site. Section 16 requires most disputes to go to individual arbitration and gives up the right to a jury or a class action, unless you opt out within 30 days.
1. Agreeing to these terms
By opening PokerNight.win, confirming your age, joining a table, or otherwise using the site, you agree to these terms. If you do not agree to them, do not use the site. We may update these terms, and the "last updated" date above will change when we do. If a change is material we will make it apparent on the site. Continuing to use the site after a change means you accept the revised terms.
2. You must be 18 or older
The site is for adults. By using it you confirm that you are at least 18 years old, and at least the age of majority where you live if that is higher. We do not knowingly permit anyone under 18 to use the site. We ask you to confirm your age before your first table. That confirmation is a statement by you, and we do not verify it. If you believe someone under 18 is using the site, contact us and we will act on it.
3. What this site is, and what it is not
PokerNight.win is a free, browser-based game of poker and blackjack that you play with people you invite. There are no accounts, no downloads, and no purchases. You are a nickname in a room.
No real money passes through this site, ever. The chips are play chips with no monetary value. We do not process, hold, transmit, escrow, or transfer funds. We take no rake, no fee, and no cut of anything. You cannot deposit, cash out, buy chips, or win a prize from us. Nothing on this site can be redeemed for money or anything of value, from us or from anyone else.
3.1 The chips are not property and cannot be traded
Chips, stacks, and any other in-game item are a temporary, revocable, non-transferable feature of a table. You do not own them. They have no cash value, no exchange value, and no value of any kind outside the table you are sitting at, and they disappear when that table is torn down. You may not sell, buy, trade, auction, transfer, or offer chips, tables, or invite codes for money or anything of value, and you may not advertise or operate any market for doing so. We prohibit secondary markets in anything on this site.
3.2 The cash value setting and the settle-up ledger
A host may set an optional "cash value" (a chips-per-dollar rate). When set, the ledger displays dollar figures alongside chip counts and suggests the smallest set of payments that would square the table.
That feature is a calculator and nothing more. It performs arithmetic on numbers you typed in. It does not create a debt, move money, or involve us in any way. Any decision to exchange money with the people you played with is a private matter entirely between you and them, happening entirely outside this site. We are not a party to it, we have no knowledge of it, we do not facilitate it, we hold no stakes, and we take no responsibility for it.
Whether it is lawful for you to exchange money over a card game is a question of the law where you live, and it varies considerably between states and countries. That is your responsibility to know and to follow, not ours. If gambling is unlawful where you are, do not use the cash value feature.
4. We are not a gambling operator
We do not offer gambling, betting, wagering, sweepstakes, contests, or games of chance for money or anything of value. We award no prizes. We are not licensed as a gambling operator anywhere and we do not hold ourselves out as one. Nothing on this site is a solicitation to gamble. The site is a social game for entertainment only. If you use it in a way that breaks the law where you live, you are doing so on your own and against these terms.
5. Responsible play
Even a play money card game can stop being fun. Play for entertainment, set your own limits on time, and step away when it stops feeling like a game. Never treat the site as a way to make money, because it is not one and cannot become one.

We do not offer self-exclusion tools, because there is no account to exclude. Closing the tab ends your session completely.
6. How you may use the site
Use it the way it is meant to be used. Do not:
- Use the site if you are under 18.
- Post or upload anything unlawful, harassing, hateful, threatening, defamatory, sexually explicit, or that depicts or exploits a minor. This covers nicknames, chat, and uploaded avatar images alike.
- Post or upload anything you do not have the right to use, including images that belong to somebody else.
- Impersonate another person, or claim a nickname to deceive.
- Attempt to see cards you are not entitled to see, collude, tamper with play, or otherwise interfere with the fairness of a hand.
- Probe, scan, overload, or attack the site or its infrastructure, or try to bypass its rate limits or any security measure.
- Reverse engineer, decompile, or attempt to extract the source of the parts of the site that are not already public.
- Scrape or automate the site, or use bots against other players without their knowledge.
- Sell, trade, or run any market in chips, tables, or invite codes (see section 3.1).
- Use the site to run a commercial gambling operation of any kind.
We may remove content, end a table, or block access, at any time and without notice, to keep the site working and safe. Table hosts also have powers over their own table, including removing a player.
7. Content you provide
You keep ownership of anything you provide, such as a nickname, a chat message, or an avatar image. You grant us a limited, non-exclusive, royalty-free licence to store, reproduce, and display it for the sole purpose of running the table you are sitting at, for as long as that table exists. You represent that you have the right to provide it and that it does not infringe anyone's rights. Because tables are temporary (see section 9), this licence ends when the table does.
We do not pre-screen or moderate content. Tables are private rooms among people who invited each other, and what is said in one is between the people in it.
We are an interactive computer service provider within the meaning of 47 U.S.C. 230(c)(1). We are not the publisher or speaker of anything a player provides, and we are not responsible for it. Nothing we do to screen, remove, or restrict content, and nothing in the Acceptable Use Policy, makes us so or waives any protection of that section.
8. Reporting content, and copyright complaints
If you encounter content on the site that is unlawful or that breaks these terms, tell us at abuse@pokernight.win with enough detail to identify it, and include the table code. Because a table is deleted shortly after it empties, report it while it is still running if you can. What is and is not allowed is set out in the Acceptable Use Policy, which forms part of these terms.

9. Tables are temporary, and nothing is guaranteed to persist
A table exists for the night it is played. It tears itself down roughly 90 seconds after the last player leaves, and an idle table is reclaimed after about two hours. When a table is torn down, everything in it goes with it: seats, stacks, chat, hand history, avatars, and the ledger.
Do not treat this site as a record of anything. If you need a record of a session, save it yourself before you leave. We do not back tables up and we cannot recover one that is gone.
10. Availability, and changes to the site
The site is offered free of charge and we may change, suspend, or discontinue any part of it, or the whole of it, at any time and without notice or liability. We do not promise that the site will remain available, or that any feature will continue to exist.
11. Photosensitivity warning
A very small number of people may experience seizures when exposed to certain visual patterns or flashing lights, including those that can appear in games. If you have a history of seizures or epilepsy, consult a doctor before playing. Stop immediately and consult a doctor if you experience dizziness, altered vision, eye or muscle twitching, disorientation, or convulsions. The site honours your operating system's "reduce motion" setting, and turning that on removes most of its animation.
12. Links to other sites
The site may link to places we do not control, such as the help resources in section 5. We provide those links for convenience, we do not endorse what is on them, and we are not responsible for their content or their privacy practices.
13. Our intellectual property, and other people's
The site's name, design, artwork, and code are owned by Contra Holdings LLC or by its principal and operated by the Company under licence, together with material licensed from third parties. Nothing in these terms transfers any of it to you, and nothing here is a licence to reuse it. Some assets on the site were made by other people and are used under their licences, including card-back artwork and sound effects. Those licences and attributions are published at card-back credits and sound credits, and they govern those assets rather than these terms.
If you send us feedback, suggestions, or ideas about the site, you agree we may use them freely, without obligation or compensation to you.
14. The site is provided as-is
The site is free and provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any defect will be corrected. No advice or information you get from us or through the site creates any warranty. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
15. Limitation of liability, and indemnification
To the fullest extent permitted by law, Contra Holdings LLC and its member, manager, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of the site, whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not we were advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability to you for all claims relating to the site will not exceed one hundred United States dollars (USD $100). You acknowledge that the site is provided free of charge and that this allocation of risk is a reasonable basis of the bargain between us.
For the avoidance of doubt, we are not liable for money you exchange with other players, for anything another player says or does, or for any dispute between players. See section 3.2.
You agree to indemnify and hold harmless Contra Holdings LLC and its member, manager, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the site, your content, your dealings with other players, or your breach of these terms or of any law.
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.
16. Disputes: talk to us first, then individual arbitration
Please read this section carefully. It affects how any dispute between us gets resolved, it requires individual arbitration instead of a court or a jury for most disputes, and it waives class actions. You can opt out of it within 30 days and everything else in these terms still applies.
16.1 Talk to us first
If something goes wrong, email legal@pokernight.win describing the problem and what you would like done. Most things can be sorted out this way. Give us 30 days to respond before starting a formal proceeding.
16.2 Arbitration
If we cannot resolve it, you and we agree that any dispute arising out of or relating to these terms or the site will be resolved by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction. The arbitration will be conducted in English, and may be conducted by documents, telephone, or video unless the arbitrator decides an in-person hearing is needed. If an in-person hearing is needed, it will take place in Salt Lake County, Utah or, at your election, in the county where you live.
16.3 No class actions
You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this paragraph is found unenforceable, then the whole of section 16.2 is void, and disputes go to the courts named in section 17.
16.4 Small claims, and injunctions
Either of us may bring an individual claim in small claims court instead of arbitration, if it qualifies. Either of us may also ask a court for an injunction to stop infringement or misuse of intellectual property, without first arbitrating.
16.5 How to opt out
You can reject this arbitration agreement. Email legal@pokernight.win within 30 days of first using the site, with the subject line "Arbitration opt-out", stating that you opt out and giving a name and email we can reply to. Opting out costs you nothing and changes nothing else. If you opt out, disputes go to the courts named in section 17.
17. Governing law and where disputes are heard
These terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. For any dispute not subject to arbitration under section 16, you and we agree that it will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of those courts. If you are a consumer resident in the EEA or the United Kingdom, nothing here deprives you of the protection of mandatory consumer laws of the country where you live, or of the right to bring proceedings there.
18. Where the site may be used
We operate the site from the United States and make no claim that it is appropriate or available elsewhere. If you use it from another country, you do so on your own initiative and are responsible for complying with local law. You may not use the site if you are subject to United States sanctions or are located in a country subject to a United States embargo.
19. Ending your use
You can stop using the site at any time by closing it, and because tables are temporary there is no account to delete. We may suspend or block access to the site at any time, for any reason, without notice. Sections 3, 7, 8.1, 13, 14, 15, 16, 17, and 20 survive after you stop using the site.
20. The rest
- Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about the site, and replace anything said before.
- Severability. If any provision is held unenforceable, it is limited or removed to the minimum extent necessary and everything else stays in force.
- No waiver. If we do not enforce something, that is not a waiver of it, and we may enforce it later.
- Assignment. You may not assign or transfer these terms. We may assign them, for example to a successor in a merger or sale of the business.
- No third-party beneficiaries. These terms create rights only between you and us.
- Events outside our control. We are not liable for failure or delay caused by anything beyond our reasonable control, including outages at our hosting provider, network failures, or acts of government.
- Notices. We may give notice by posting on the site. You give notice to us at the addresses in section 21.
- Headings. Section headings are for reading convenience and do not affect meaning.
